As used below, “Seller” means Polymershapes Distribution Canada Inc, ”Product” means any product sold by Seller, and ”Buyer” means a party purchasing any Product from Seller. APPLICABLE TERMS. All sales by Seller to Buyer, whether initiated by written purchase order, electronic means, telephone or any other method, will be subject to the following: 1 If a formal agreement is then in effect between Buyer and Seller and applicable to such sale (a "Sales Agreement"), then any term in the Sales Agreement that conflicts with these terms will apply, and these terms will otherwise apply. 2 If no Sales Agreement is in effect, these terms, and the Product description and quantity specified in Buyer's order as accepted by Seller, will make up Buyer's complete contract with Seller. In order to promote their safe and effective use, all Products are provided solely for use or consumption by Buyer, and any resale or other transfer of any such Products by Buyer is prohibited and will constitute a material breach of these terms. These terms may be modified only by the written agreement of Buyer and Seller. By purchasing Products from Seller, Buyer confirms its agreement with these terms, and agrees that, even if Buyer sends Seller another form of agreement or terms, or modifications to these terms, and Seller does not respond, these terms shall govern. The United Nations Convention on Contracts for the International Sale of Goods will not apply to any sale of Products. PRICES AND DELIVERY. Product prices are determined by the applicable Sales Agreement, if any. In the absence of a Sales Agreement, prices are determined by Buyer's confirmed order or, in the absence of a confirmed order, by Seller’s list prices in effect at the time of shipment. If Seller implements a general or industry specific price adjustment for any Product, all orders for such Product that are confirmed but not shipped as of the effective date of such adjustment shall be re-priced accordingly. All prices are EXW (INCOTERMS 2010) point of shipment, and, unless expressly agreed in writing, payment will be due in Canadian Dollars within thirty (30) days of the invoice date. Buyer also agrees to reimburse Seller for Seller’s costs of collection, including reasonable legal fees, and all amounts not paid when due shall bear interest at the lesser of eighteen percent (18%) per annum or at the highest rate permitted by law. Risk of loss or damage to Products will pass to Buyer at the time such Products are first delivered to a commercial transportation carrier for shipment, except that risk of loss or damage to Products shipped from Canada to locations outside of Canada will occur immediately after such Products first leave Canadian territory (including its territorial waters and airspace, as applicable). All delivery dates are estimates only. Buyer agrees that a variation of up to 10% in quantity delivered is acceptable to Buyer, and shall constitute fulfillment of an order. TITLE AND SECURITY INTEREST. Until Seller collects in full all amounts owed by Buyer to Seller for the Product, Seller retains title to the Product; and Buyer grants to Seller a continuing security interest in the Product and the proceeds thereof (including insurance proceeds), as security for the payment and performance of all present and future obligations of Buyer to Seller. Buyer hereby waives the right to receive notice of any registration under personal property security legislation. LIMITED WARRANTY. Seller warrants that all Products sold to Buyer will be free of any claim of ownership by third parties and will conform to the manufacturer's specifications in effect at the time of manufacture, or such other specifications as set forth in the applicable product certification delivered to Buyer. Buyer will inspect all Products for damage, defect or shortage promptly after Buyer receives them, and will give Seller prompt notice of any damage, defect or shortage that Buyer finds. The conditions of any test for conformance with specifications shall be mutually agreed upon and Seller will be notified of, and may be represented at, all such tests. If any Product is determined not to conform to the warranty set forth above during the period ending at the earlier of (i) the date of use of the Product by Buyer, or (ii) six months from date of shipment by Seller, then Seller shall, at its option, either replace the defective Product or refund the purchase price. Defective Products shall not be returned by Buyer until authorized by Seller. This remedy is Buyer’s exclusive remedy for breach of warranty. THIS LIMITED WARRANTY IS GIVEN ONLY TO THE ORIGINAL PURCHASER, IT MAY NOT BE TRANSFERRED OR ASSIGNED AND DOES NOT EXTEND TO ANY SUBSEQUENT PURCHASER OR TRANSFEREE OF PRODUCTS. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, WRITTEN OR ORAL, STATUTORY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. LIMITATION OF CLAIMS. Except as agreed in the Limited Warranty set forth above, Seller will not be responsible for any harm arising out of Buyer’s purchase, possession or use of any Product, whether based in contract, warranty, negligence or other tort, strict liability or otherwise. FOR GREATER CERTAINTY, SELLER WILL NOT BE LIABLE IN ANY CIRCUMSTANCES FOR DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR EXEMPLARY DAMAGES, OF FOR LOSS OF PROFITS, EQUIPMENT DOWNTIME, COST OF ANY SUBSTITUTE FOR PRODUCTS, CLAIMS OF THIRD PARTIES OR INJURY TO PERSONS OR PROPERTY. THIS LIMITATION SHALL APPLY NOTWITHSTANDING A FINDING THAT ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. ADVICE AND OTHER SERVICES. Buyer agrees that Seller will not have control over the design, testing or labelling of any product produced using Seller's Products, and that Buyer is not relying on any representation or statement made by, or on behalf of, Seller with respect to the suitability of any Product for any purpose, or on any advice, recommendation or information obtained from Seller's product literature or web sites, including any design aid or other service made available by Seller. Buyer has tested and investigated the Products enough to form an independent judgment concerning their suitability for the use, conversion or processing intended by Buyer and will not make any claim against Seller based on Seller’s advice, statements, information, services or recommendations. INTELLECTUAL PROPERTY. Any suggestions Seller makes about possible articles, designs or uses of Products do not give Buyer a license under any patent or other intellectual property right covering such articles, designs or uses, nor are they a recommendation that Buyer use any Product in a manner that may infringe any patent or other intellectual property right. If there is a claim that any Product, in the form in which Seller sold it to Buyer, infringes another person’s patent or other intellectual property right in the jurisdiction in which such sale took place, then (i) Seller will defend Buyer against such claim, and indemnify Buyer against all reasonable costs of such defence incurred by Buyer, and (ii) if any Product subject to such a claim is determined to infringe another person’s patent or other intellectual property right, Seller shall, at its sole option and expense, either procure for Buyer the right to continue using the Product or accept return of the Product from Buyer and refund the purchase price thereof. The foregoing states the entire obligation of Seller for intellectual property infringement. Seller shall not be responsible for, and Buyer shall hold Seller harmless against, any damages and costs incurred by Seller as a result of any claim of infringement of another person’s patent or other intellectual property right that arises from Seller's compliance with any specification or instruction provided by Buyer. In the event that Buyer shall become aware of any claim of the type described above, it will promptly notify Seller in writing and give Seller all necessary information, assistance and exclusive authority for the defence of any such claim and its settlement. EVENTS BEYOND SELLER’S CONTROL. Seller will not be responsible if Seller's performance of any obligation hereunder (other than the payment of money) becomes impossible or commercially unreasonable due to any cause or event beyond Seller’s reasonable control, including, without limitation, acts of God, acts of any governmental authority, acts of Buyer, acts of terrorism, war, civil disturbance, labour disruption or strike, fire, explosion, release of dangerous or hazardous materials, inability to obtain necessary raw materials, utilities, transportation, machinery or services, and any similar or dissimilar cause or event. HEALTH AND SAFETY COMPLIANCE. Seller will give Buyer Material Safety Data Sheets (“MSDSs”) for Products sold hereunder. Buyer understands that some Products may be hazardous materials or hazardous substances under various laws and regulations when handled or processed. Buyer agrees to familiarize itself (without further reliance on Seller) with any hazards of the Products, their processing and applications and the containers in which the Products are shipped. Buyer agrees to provide the MSDSs to all those required by law to receive same and to inform and train its employees, and properly warn and instruct its customers, as to hazards identified in the MSDSs or discovered by Buyer in its investigations. Buyer agrees to properly manage and dispose of all wastes and residues resulting from its use of all Products, including any disposable packaging, in accordance with applicable disposal or recycling laws. EXPORT CONTROL COMPLIANCE. Buyer will ensure that any Products, technology or software received from Seller are exported by Buyer only in compliance with applicable laws, including Canadian and U.S. export control laws. Buyer certifies that it will not use, or knowingly support the use by others of, such Products, technology or software in the design, development, production or use of nuclear, chemical or biological weapons, land mines or ballistic missiles. At all times, Seller will be entitled to decline to sell or ship to any party. ELECTRONIC COMMERCE. Buyer may not share any password, access code or similar credential issued to it by Seller, and Seller reserves the right to suspend or revoke any such credential. Buyer is solely responsible for ensuring the security and integrity of its ordering process. Any information provided by Seller via any Internet site or electronic communication (i) is subject to correction or change without notice, and (ii) is provided for the sole use of Buyer for purposes of facilitating individual transactions involving the purchase and sale of Products. Buyer agrees that it will not rely upon any such information for any purpose other than making individual purchases and will not seek to assert such information against Seller for any other purpose. Seller may issue electronic invoices for any purchases of Products made using the Internet, e-mail or any other computer-based electronic communications method, and agrees to honour such invoice as if it had been delivered in writing. MEDICAL APPLICATIONS. Buyer understands that the Products are not intended for use in any medical application involving permanent implantation in the human body, or any such implantation lasting longer than 29 days, and agrees not to use any Product for any such application, or for any other application into which, to Buyer’s knowledge, Seller has previously declined to sell Products. GENERAL. Cancellation of any order, or return of any conforming Product purchased hereunder, will be subject to acceptance by Seller and to a restocking charge in accordance with Seller’s policy then in effect. Neither course of performance or dealing, nor usage of trade, nor prior writings or agreements shall be used to qualify, explain or supplement any of these terms and conditions. Failure by either party, at any time or from time to time, to require the performance by the other of any term hereof shall not constitute a waiver of such term or provision. The invalidity, in whole or in part, of any term herein, shall not affect any other term, each of which shall be enforced to the full extent permitted by law. Buyer may not assign or transfer any rights or obligations under any Sales Agreement or other agreement governed by these terms without the prior written consent of Seller. These terms shall be governed by, and interpreted in accordance with, the laws of the province of Ontario, without giving effect to its conflicts of laws principles. The parties hereby irrevocably submit and agree to attorn to the non-exclusive jurisdiction of the courts of Ontario. CHOICE OF LANGUAGE. The parties hereby acknowledge that they have required this Agreement and all other agreements and notices required or permitted to be entered into or given pursuant hereto to be drawn in the English language. COUNTERPARTS. This Agreement and any amendment of this Agreement in whole or in part may be signed and delivered in any number of counterparts, each of which when signed and delivered is an original but all of which taken together constitute one and the same instrument. This Agreement and any amendment of this Agreement in whole or in part may be delivered by fax or by sending a computer-scanned copy electronically. Revised 11/2016 DÉFINITIONS. Dans le présent document, le mot « Vendeur » signifie Polymershapes Distribution Canada Inc.; le mot « Produit » signifie tous les produits identifiés sur la page de couverture des présentes et vendus par le Vendeur ; et le mot « Acheteur » signifie une partie qui achète un Produit au Vendeur. CONDITIONS APPLICABLES. Toutes les ventes effectuées par le Vendeur à l’Acheteur, qu’elles résultent d’un bon de commande écrit, d’une commande électronique, téléphonique ou autre, sont soumises aux conditions suivantes : Si un contrat en bonne et due forme est alors en vigueur entre l’Acheteur et le Vendeur et s’il concerne la vente en question (un « Contrat de vente »), et que l’une de ses dispositions est en conflit avec les présentes conditions, les dispositions du Contrat de vente prévaudront dans la mesure requise par ce conflit. Si aucun Contrat de vente n’est en vigueur, les présentes conditions et la description du Produit, ainsi que la quantité précisée dans la commande de l’Acheteur acceptée par le Vendeur, constitueront l’intégralité du contrat avec le Vendeur. Afin de favoriser l’efficacité et la sécurité de leur utilisation, tous les Produits sont fournis pour la seule utilisation ou consommation de l’Acheteur, et toute revente ou autre cession de tels Produits par l’Acheteur est interdite et constituera une violation importante des présentes conditions. Les présentes conditions ne pourront être modifiées que si l’Acheteur et le Vendeur en conviennent par écrit. En achetant des Produits du Vendeur, l’Acheteur confirme qu’il accepte les présentes conditions, et convient que, même s’il envoie au Vendeur une autre forme de contrat, d’autres conditions ou des modifications aux présentes conditions, et que le Vendeur ne répond pas à cet envoi, les présentes conditions prévaudront. La Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s’appliquera à aucune vente de Produits. PRIX ET LIVRAISON. Les prix des Produits sont établis dans le Contrat de vente applicable, le cas échéant. En l’absence d’un Contrat de vente, les prix sont établis dans la commande de l’Acheteur confirmée ou, en l’absence d’une confirmation de commande, par la liste de prix du Vendeur en vigueur au moment de l’expédition. Si le Vendeur procède à une révision de prix pour un Produit, générale ou propre à une industrie particulière, ce prix révisé s’appliquera à toutes les commandes confirmées portant sur un tel Produit non encore expédiées à la date d’entrée en vigueur d’une telle révision. Tous les prix s’entendent EXW (INCOTERMS 2010) au point d’expédition, et, sauf entente contraire par écrit, le paiement en dollars canadiens sera exigible dans les trente (30) jours de la date de la facture. L’Acheteur convient également de rembourser au Vendeur tous ses frais de recouvrement, y compris les frais judiciaires raisonnables; tous les montants impayés à l’échéance porteront intérêt au taux de dix-huit pour cent (18 %) par année ou au taux le plus élevé permis par la loi, selon le moindre des deux. Les risques de perte ou de dommage aux Produits seront transférés à l’Acheteur au moment où les Produits sont livrés une première fois à un transporteur commercial pour expédition, sauf dans le cas de Produits expédiés à l’extérieur du Canada à partir du Canada, où le transfert de risque se produira dès que ces Produits auront quitté une première fois le territoire canadien (y compris ses eaux territoriales et son espace aérien, selon le cas). Toutes les dates de livraison sont estimatives. L’Acheteur convient qu’un écart dans la quantité livrée est acceptable s’il ne dépasse pas 10 %, et que, dans un tel cas, la commande sera considérée comme exécutée. CLAUSE DE RÉSERVE DE PROPRIÉTÉ. Le Vendeur réserve la propriété des Produits jusqu’à ce que le Vendeur recouvre l’intégralité des sommes dues par l’Acheteur au titre de ceux-ci; cette vente à tempérament pourra faire l’objet d’une inscription globale en vertu de l’article 2961.1 du Code civil du Québec. L’Acheteur renonce par les présentes au droit d’être avisé des enregistrements requis en vertu de la législation applicable aux sûretés mobilières. GARANTIE LIMITÉE. Le Vendeur garantit qu’aucun des Produits vendus à l’Acheteur n’est revendiqué par des tiers et que ces Produits sont conformes aux spécifications du fabricant en vigueur à la date de fabrication, ou aux autres spécifications indiquées dans le certificat applicable remis à l’Acheteur. L’Acheteur inspectera tous les Produits dans un bref délai suivant leur réception et avisera rapidement le Vendeur de tout dommage, défaut ou article manquant. Les conditions d’essai de conformité aux spécifications seront fixées d’un commun accord. Le Vendeur sera avisé de tous les essais effectués et pourra se faire représenter lors de tels essais. S’il est déterminé qu’un Produit n’est pas conforme à la garantie prévue ci-dessus durant la période se terminant i) à la date d’utilisation du Produit par l’Acheteur ou ii) six mois après la date d’expédition par le Vendeur, selon la plus brève de ces échéances, le Vendeur devra, à son choix, soit remplacer le Produit défectueux, soit rembourser le prix d’achat. Les Produits défectueux ne doivent pas être retournés par l’Acheteur avant que le Vendeur ne donne son autorisation. Ce recours est le seul recours de l’Acheteur en cas de rupture de garantie. CETTE GARANTIE LIMITÉE N’EST FOURNIE QU’AU PREMIER ACHETEUR, ELLE NE PEUT ÊTRE TRANSFÉRÉE NI CÉDÉE, ET NE S’ÉTEND À AUCUN ACHETEUR POSTÉRIEUR NI À AUCUN CESSIONNAIRE. CETTE GARANTIE REMPLACE TOUTE AUTRE GARANTIE OU CONDITION, ÉCRITE OU VERBALE, LÉGALE, EXPRESSE OU IMPLICITE, Y COMPRIS UNE GARANTIE DE QUALITÉ MARCHANDE OU DE CONFORMITÉ AUX BESOINS. LIMITATION DES RÉCLAMATIONS. Sous réserve de la garantie limitée prévue ci-dessus, le Vendeur ne sera tenu responsable d’aucun préjudice découlant de l’achat, de la possession ou de l’utilisation d’un Produit par l’Acheteur, que cette responsabilité soit fondée sur une base contractuelle ou extracontractuelle. POUR PLUS DE CERTITUDE, LE VENDEUR NE SERA TENU RESPONSABLE EN AUCUNE CIRCONSTANCE DES DOMMAGES DIRECTS OU INDIRECTS, CONSÉCUTIFS, SPÉCIAUX, ACCESSOIRES OU EXEMPLAIRES, NI D’AUCUN MANQUE À GAGNER, TEMPS D’ARRÊT D’ÉQUIPEMENT, COÛT DE PRODUITS DE SUBSTITUTION, RÉCLAMATIONS DE TIERS, PRÉJUDICES CORPORELS OU DOMMAGES MATÉRIELS. LA PRÉSENTE LIMITATION S’APPLIQUERA MÊME S’IL S’AVÈRE QU’UN RECOURS ÉCHOUE. CONSEILS ET AUTRES SERVICES. L’Acheteur convient que le Vendeur n’aura aucun contrôle sur la conception, les essais ou l’étiquetage des produits fabriqués en utilisant ses Produits, et qu’il ne se fonde pas sur une représentation ou déclaration faite par le Vendeur ou pour le compte du Vendeur en ce qui concerne le caractère adapté d’un Produit à une fin quelconque, ni sur aucun conseil, recommandation ou information fourni dans la documentation sur le produit ou les sites Web du Vendeur, y compris l’assistance à la conception ou un autre service offert par le Vendeur. L’Acheteur a procédé à des essais et a effectué des investigations suffisantes sur les Produits pour se former une opinion indépendante au sujet de leur caractère adapté à l’utilisation, la conversion ou la transformation envisagée par lui, et il ne fera aucune réclamation contre le Vendeur fondée sur les conseils, déclarations, informations, services ou recommandations de ce dernier. PROPRIÉTÉ INTELLECTUELLE. Les suggestions faites par le Vendeur concernant les articles, conceptions ou utilisations possibles des Produits ne confèrent à l’Acheteur aucune licence sur les droits de brevet ou d’autres droits de propriété intellectuelle ayant pour objet de tels articles, conceptions ou utilisations. Elles ne constituent pas non plus une recommandation faite à l’Acheteur d’utiliser un Produit d’une manière qui pourrait porter atteinte à un brevet ou à d’autres droits de propriété intellectuelle. S’il était allégué qu’un Produit, dans la forme dans laquelle le Vendeur l’a vendu à l’Acheteur, porte atteinte au brevet ou aux droits de propriété intellectuelle d’un tiers dans la juridiction où la vente a eu lieu, alors i) le Vendeur défendra l’Acheteur contre une telle allégation et il l’indemnisera de tous les frais raisonnables qu’il aura encourus pour sa défense, et ii) s’il est établi qu’un Produit faisant l’objet d’une telle allégation porte atteinte à un brevet ou à d’autres droits de propriété intellectuelle d’un tiers, le Vendeur pourra, à sa discrétion et à ses frais, soit fournir à l’Acheteur le droit de continuer à utiliser le Produit, soit accepter que l’Acheteur lui retourne le Produit auquel cas il lui remboursera le prix d’achat. Ce qui précède constitue l’intégralité des obligations du Vendeur en matière d’atteinte aux droits de propriété intellectuelle. Le Vendeur ne sera pas tenu responsable, et l’Acheteur le tiendra indemne, de l’ensemble des dommages et des frais encourus par le Vendeur suite à une réclamation pour atteinte à un brevet ou aux droits de propriété intellectuelle d’un tiers découlant du respect par le Vendeur d’une spécification ou d’une instruction de l’Acheteur. Si l’Acheteur venait à apprendre l’existence d’une réclamation du type décrit ci-dessus, il en aviserait rapidement le Vendeur par écrit, fournirait à ce dernier toutes les informations et l’aide nécessaires, et lui donnerait toute l’autorité pour contester une telle réclamation et en obtenir le règlement. ÉVÉNEMENTS INDÉPENDANTS DE LA VOLONTÉ DU VENDEUR. Le Vendeur ne sera pas tenu responsable si l’exécution de l’une de ses obligations prévues aux présentes (sauf un paiement en argent) devenait impossible ou injustifiable sur le plan commercial, pour une cause ou en raison d’un événement indépendant de sa volonté, y compris, mais non de façon limitative un cas de force majeure au sens de l’article 1470 du Code civil du Québec, un acte des autorités gouvernementales, un acte de l’Acheteur, un acte de terrorisme, une guerre, des troubles publics, une interruption de travail ou une grève, un incendie, une explosion, le rejet de marchandises ou de matières dangereuses, l’incapacité d’obtenir les matières premières ou les matières de base, le transport, les machines ou les services nécessaires, et toute autre cause ou événement. CONFORMITÉ EN MATIÈRE DE SANTÉ ET SÉCURITÉ. Le Vendeur remettra à l’Acheteur les Fiches techniques santé-sécurité (“FTSS”) pour les Produits vendus en vertu des présentes conditions. L’Acheteur comprend que certains Produits, lorsqu’ils sont manipulés ou transformés, peuvent être des matières ou des substances dangereuses en vertu de diverses lois et règlements. L’Acheteur convient de se familiariser (sans compter davantage sur le Vendeur) avec les risques associés aux Produits, à leur transformation et à leurs applications ainsi qu’aux contenants dans lesquels ils sont expédiés. L’Acheteur convient de fournir les FTSS à tous ceux qui doivent les recevoir selon la loi, d’informer et de former ses employés, d’avertir ses clients de manière appropriée et de leur donner les instructions adéquates quant aux risques identifiés dans les FTSS ou identifiés par lui au cours de ses investigations. L’Acheteur convient de gérer et d’éliminer convenablement tous les déchets et résidus résultant de l’utilisation qu’il fait des Produits, y compris les emballages jetables, conformément aux lois applicables relativement à l’élimination et au recyclage. CONFORMITÉ EN MATIÈRE DE CONTRÔLE DES EXPORTATIONS. L’Acheteur s’assurera que tout Produit, technologie ou logiciel reçus du Vendeur ne seront exportés par l’Acheteur qu’en conformité avec les lois applicables, y compris les lois canadiennes et américaines sur le contrôle des exportations. L’Acheteur certifie qu’il n’utilisera pas ni ne donnera sciemment son concours à l’utilisation par des tiers d’un Produit, d’une technologie ou d’un logiciel dans la conception, la mise au point, la production ou l’utilisation d’armes nucléaires, chimiques ou biologiques, de mines terrestres ou de missiles balistiques. En tout temps, le Vendeur aura le droit de refuser de vendre ou d’expédier ses Produits à quiconque. COMMERCE ÉLECTRONIQUE. L’Acheteur ne pourra communiquer un mot de passe, un code d’accès ou autre authentifiant semblable émis par le Vendeur, et ce dernier se réserve le droit de révoquer un tel authentifiant. Il revient au seul Acheteur d’assurer la sécurité et l’intégrité de son mode de commande. Tout renseignement fourni par le Vendeur au moyen d’un site Internet ou par communication électronique i) est fourni sous réserve de modification ou de correction sans préavis, et ii) est destiné à l’usage exclusif de l’Acheteur en vue de faciliter les transactions individuelles d’achat et de vente des Produits. L’Acheteur convient qu’il ne comptera pas sur de tels renseignements pour d’autres fins que celles d’effectuer des achats, et qu’il ne cherchera pas à se servir de tels renseignements contre le Vendeur pour une autre raison. Le Vendeur pourra émettre des factures électroniques pour des achats de Produits effectués en utilisant l’Internet, le courrier électronique ou toute autre méthode de communication électronique par ordinateur, et convient de reconnaître de telles factures comme si elles avaient été émises par écrit. APPLICATIONS MÉDICALES. L’Acheteur est informé que les Produits ne sont destinés à être utilisés dans aucune application médicale exigeant un implant permanent dans le corps humain, ni dans aucun implant semblable d’une durée supérieure à 29 jours. L’Acheteur convient de ne pas utiliser les Produits pour une telle application, ni pour toute autre application à l’égard de laquelle, à sa connaissance, le Vendeur a déjà refusé de vendre les Produits. GÉNÉRALITÉS. L’annulation d’une commande ou le retour d’un Produit conforme acheté en vertu des présentes conditions sera sujet à l’acceptation du Vendeur et donnera lieu à des frais de restockage conformément à la politique du Vendeur alors en vigueur. Aucune modalité d’exécution, conduite habituelle, aucun usage du commerce, ni aucun écrit ou autorisation préalable ne pourront être utilisés pour qualifier, expliquer ou compléter les présentes conditions.
